SMA account setup
The custody relationship that makes everything else work.
What the SMA is:
A segregated sub-account at the institutional custodian, opened in MakeBanc's name, tethered to cold storage, with trade-only API access granted to you.
The SMA holds investor assets allocated to your strategy. The custodian holds the keys. Not the platform. Not you.
Your access is trade-only. You can submit trades. You can move assets between trading pairs. You cannot withdraw assets, transfer them to an address you control, or change the custody arrangement.
This is the structural foundation of the platform's no-custody position.
How the SMA connects to the vault:
One-to-one mapping: each strategy has one ERC-7540 vault on Base and one SMA at the custodian.
The vault collects allocations from investors. At the daily settlement event, collected balances move into the SMA under the custodian, available for you to trade.
The vault remains the canonical record of who holds what share. The SMA reflects the aggregate balance and open positions.
When the NAV oracle calculates per-share value, it pulls the SMA's balance and position data from Binance and divides by the vault's share count.
What you can trade:
The instruments, markets, leverage, and exposure your strategy uses on Binance are yours to set and to manage with your investors, and they're configured in your API access at setup.
MakeBanc provides the trade-only access. It doesn't set, monitor, or enforce how you run the strategy.
API access mechanics:
The custodian generates API credentials for the SMA and issues them through a secure channel.
You handle these credentials per the operational security requirements. Specifically:
- API keys stored in a secrets manager with at-rest encryption
- Access restricted to named personnel
- Keys rotated immediately on departure of any personnel with access
- Compromise or unauthorised use reported to the platform within one hour
These are not soft requirements. The platform can suspend API access on reasonable suspicion of credential compromise.
What the platform sees from your SMA:
- Aggregate balance (cash and positions): used for NAV
- Trading activity in aggregate (volume, P&L attribution, broad strategy metrics for the detail page and daily report)
The platform does not see your models, signals, decisions, or market views. Your strategy IP is yours.
Continuity:
Platform front-end down: The SMA is unaffected. The custodian holds assets. Your API access continues. The vault contract remains on-chain.
Your trading infrastructure down: The SMA holds existing positions until you restore access. The custodian doesn't unwind positions on your behalf.
Lost API credentials: Contact the platform immediately. New credentials can be issued with appropriate verification.
Termination:
If you wind down or the platform terminates the agreement, an orderly unwind happens over thirty days. You reduce open positions. Stablecoins from closed positions return to the vault and distribute to investors through normal redemption.
You retain your strategy IP. You retain your track record. You don't retain access to platform investors (you may retain relationships with investors you personally introduced, subject to non-circumvention provisions in the Infrastructure Agreement).
