How you bring investors onto the platform.
The four channels:
Defined as AM Introduction Channels in the Infrastructure Agreement.
Unique invite codes. Alphanumeric codes issued by the platform, tied to your account. An investor enters one during onboarding. The introduction is attributed to you automatically.
Platform-generated invitation links. URLs carrying your identifier. Investor clicks through to sign up, tag applied automatically.
Written referrals to named individuals. You introduce someone by email; they use your code at signup. The email is the audit trail.
Other audited channels. Future mechanisms: co-branded landing pages, referral widgets, etc. Documented when added.
Issuing and using codes:
From your dashboard's "Introductions" section:
- Generate new invite codes. No cap; as many as you want.
- View existing codes and usage (signups per code, capital allocated through them).
- Generate invitation links for marketing copy or your website.
- Revoke codes no longer needed. Existing investors onboarded through them are unaffected.
What investors see:
They see who introduced them. Your firm name appears during onboarding. The relationship is transparent from the start.
They can consent to information sharing, giving you continued visibility into their allocation. If they decline, the introduction is still attributed to you, but you see only the aggregate figure, not their identity.
What you can and cannot do:
You can introduce investors freely. No daily cap, monthly limit, or rate restriction.
You cannot:
- Accept payment, securities, or assets directly from an investor. All capital flows through the vault contracts. Side payments are a material breach.
- Enter side agreements or rebate arrangements regarding platform allocations.
- Hold yourself out as authorised by MakeBanc to do any of the above.
- Circumvent the standard onboarding flow. All introductions go through standard KYC, wallet connection, and onboarding. No fast-track.
Summarised from the Infrastructure Agreement.
What the platform does with introductions:
Processes them through standard onboarding (KYC via Noah and Sumsub). Attributes the introduction to you. Makes the capital you've introduced visible on your dashboard.
The platform does not introduce investors to you or maintain a lead list, and there is no marketplace for investors to browse. Capital reaches you through the invite codes you share, not through discovery.
The platform maintains the audited introduction record. Your tier is determined by the total AUT across your vaults, see The Tier Program.
Communications outside the platform:
For investors you introduced who consented to information sharing, you may communicate about matters connected to their allocation: strategy updates, market commentary, your own product news.
These communications cannot:
- Instruct or facilitate redemption outside the platform
- Claim authority over the investor's allocation
- Describe the platform in ways that violate the regulatory framing (allocations aren't deposits, returns aren't interest, the platform isn't a bank)
Documented at clauses 5.3 and 5.8(e).
Materials referencing the platform:
If you produce materials mentioning MakeBanc, submit them in advance for review.
The review is narrow and operational: checking that materials don't describe the platform as offering investment advice, custody, or banking services, and that allocations aren't called deposits or returns called interest.
The platform doesn't edit your strategy commentary, performance commentary, or your firm's story.
Required disclaimer for performance information: "Past performance is not indicative of future results. Strategy operated independently by [Asset Manager]. MakeBanc provides technology infrastructure only."
Use the channels:
The audited introduction system is rigorous because the underlying mechanism is real. The channels are how an introduction becomes attributable to you, and attribution is what gives you dashboard visibility and the ability to communicate with consenting investors.
An introduction only counts as yours if it comes through the channel system. Someone you bring in outside it isn't attributed to you, regardless of your intuition about who introduced them.
This isn't punitive. It's consistent. Use the channels.
